1. Acceptance of Terms

By accessing or using the Kalorie Wise mobile application ("App") and website at kaloriescan.com ("Website"), collectively referred to as the "Service," you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

Kalorie Wise is operated by Kode Foundry ("Company," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and the Company.

2. Description of Service

Kalorie Wise is an AI-powered calorie tracking application available on iOS. The Service provides the following features:

• NutriBot AI Chat — an AI-powered nutrition assistant for answering food-related questions and logging meals
• Menu Scanner — camera-based scanning of restaurant menus with AI-generated calorie estimates
• AI Meal Plans — personalized 30-day meal plan generation based on your dietary preferences and goals
• Recipe Generation — AI-crafted recipes with full nutrition breakdowns
• Calorie Dashboard & History — tracking and reviewing your daily nutrition intake
• Apple Health Integration — syncing health and activity data with Apple HealthKit

AI features are powered by Google Gemini and other third-party AI services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

To access certain features of the Service, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years of age to create an account. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. Subscriptions and Payments

Kalorie Wise offers a free tier with basic features and a Pro subscription that unlocks all AI-powered features. Pro subscriptions are available at the following pricing:

• Pro Monthly: $3.99 per month
• Pro Annual: $29.99 per year

All Pro subscriptions include a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription.

Subscriptions are processed through Apple In-App Purchases. Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period.

To cancel your subscription or turn off auto-renewal, go to Settings > Apple ID > Subscriptions on your Apple device. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Pricing is subject to change. We will provide reasonable notice of any price increases before they take effect. All prices are in US dollars unless otherwise stated.

5. AI-Generated Content Disclaimer

Kalorie Wise uses artificial intelligence (powered by Google Gemini) to generate calorie estimates, nutritional information, meal plans, recipes, and chat responses. You acknowledge and agree that:

• AI-generated content is provided for informational purposes only and may not be fully accurate
• Calorie counts, nutritional values, and portion estimates are approximations and should not be relied upon as precise measurements
• AI-generated meal plans and recipes are not medical advice and are not a substitute for professional dietary or medical guidance
• You should always verify nutritional information from authoritative sources, especially if you have food allergies, intolerances, or medical conditions
• We do not guarantee the completeness, reliability, or suitability of AI-generated content for any particular purpose

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit harmful, offensive, or illegal content
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use automated systems, bots, or scrapers to access the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Service to provide medical, dietary, or health advice to third parties
• Misrepresent AI-generated content as professional medical or nutritional advice

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. Intellectual Property

The Service, including its design, logos, text, graphics, software, and all other content, is the property of Kode Foundry and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

Any content you submit through the Service (e.g., feedback, photos for scanning) remains your property. However, you grant us a non-exclusive, worldwide, royalty-free license to use such content solely for the purpose of providing and improving the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content, including AI-generated nutritional data, calorie estimates, meal plans, or recipes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KODE FOUNDRY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

This limitation of liability applies regardless of the theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

10. Health Data Disclaimer

Kalorie Wise is a nutrition tracking and informational tool. It is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or health condition.

The nutritional information, calorie estimates, meal plans, recipes, and health data integrations (including Apple HealthKit data) provided through the Service are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider or registered dietitian before making significant changes to your diet, especially if you have:

• A medical condition (e.g., diabetes, heart disease, kidney disease)
• Food allergies or intolerances
• An eating disorder or history of disordered eating
• Pregnancy or breastfeeding
• Any condition requiring a medically supervised diet

You use the health-related features of the Service entirely at your own risk. We disclaim all liability for any health consequences that may result from your use of the Service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by deleting your account through the App settings.

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy. Any active subscription must be cancelled separately through your Apple ID settings to avoid continued billing.

Sections of these Terms that by their nature should survive termination shall continue in effect, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms within the App or on our Website, and by updating the "Effective Date" at the top of this page.

Your continued use of the Service after the revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and delete your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved in the competent courts of Nigeria.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
